1. Agreement to Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and P2PClouds (Pvt.) Ltd. (“P2PClouds,” “we,” “us,” or “our”), operating the P2P LMS platform accessible at p2pclouds.net and its associated sub-domains and applications (collectively, the “Service”).

By creating an account, accessing, or using the Service in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to all of these Terms, you must not use the Service.

2. Description of Service

P2P LMS is a cloud-based Software-as-a-Service (“SaaS”) learning management platform designed for educational institutions. The platform provides tools for student enrollment, course management, attendance tracking, fee management, teacher administration, assessments, certificate generation, and related administrative functions.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable prior notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation.

3. Eligibility and Account Registration

To use the Service, you must be at least 18 years of age and have the legal authority to enter into a binding contract. By registering, you represent and warrant that all information you provide is accurate, current, and complete.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at info@p2pclouds.net if you suspect unauthorised access to your account.

Each subscription account (“Organisation Account”) may have one primary administrator and multiple sub-users (teachers, students) as permitted by the subscribed plan. You are solely responsible for all actions taken by users under your Organisation Account.

4. Subscription Plans and Billing

Access to premium features of the Service requires a paid subscription. Subscription fees are billed in advance on a recurring basis (monthly or annually, depending on the plan selected) and are non-refundable except as described in our Refund & Cancellation Policy.

All payments are processed securely through our authorized payment provider. Payment processing, invoicing, and applicable tax collection are handled on our behalf. By completing a purchase, you agree to the payment terms presented at checkout.

We reserve the right to change subscription fees at any time. Price changes will take effect at the start of the next billing cycle following at least 30 days' written notice to your registered email address.

5. Free Trial and Promotional Offers

We may offer a free trial period at our sole discretion. At the end of the trial period, you will be required to select a paid plan to continue using premium features. We reserve the right to modify or cancel free trials at any time without notice.

6. Acceptable Use Policy

You agree not to:

  • Use the Service for any unlawful, fraudulent, or harmful purpose.
  • Upload or transmit content that is defamatory, obscene, discriminatory, or that infringes any third-party intellectual property rights.
  • Attempt to gain unauthorised access to any part of the Service or its underlying infrastructure.
  • Reverse engineer, decompile, or disassemble any portion of the Service.
  • Use automated tools (bots, scrapers, crawlers) to access or collect data from the Service without our express written consent.
  • Resell, sublicense, or otherwise commercialise access to the Service without our express written authorisation.
  • Introduce any viruses, malware, or other harmful code into the Service.

We reserve the right to suspend or terminate your account immediately and without notice if you breach this Acceptable Use Policy.

7. Intellectual Property

The Service, including all software, designs, text, graphics, logos, and other content created by P2PClouds, is owned by or licensed to P2PClouds and is protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to access and use the Service solely for your internal institutional purposes during the term of your subscription.

All content you upload to the Service (“User Content”) remains your property. By uploading User Content, you grant P2PClouds a limited licence to host, store, and display such content solely for the purpose of providing the Service to you.

8. Data Protection and Privacy

Your privacy is important to us. Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

9. Cancellation and Termination

You may cancel your subscription at any time through your account settings or by contacting us at info@p2pclouds.net. Upon cancellation, your account will remain active until the end of the current billing period, after which access to paid features will cease. No pro-rated refunds are issued for unused days in the current billing cycle unless required by our Refund & Cancellation Policy.

We may terminate or suspend your account immediately, without prior notice, if you breach any provision of these Terms, fail to pay subscription fees, or if we are required to do so by law.

10. Disclaimers and Limitation of Liability

The Service is provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied. We do not warrant that the Service will be uninterrupted, error-free, or free from viruses or other harmful components.

To the maximum extent permitted by applicable law, P2PClouds shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of profits, or business interruption, arising out of or in connection with your use of the Service, even if we have been advised of the possibility of such damages.

Our aggregate liability to you for any claim arising out of or relating to these Terms or the Service shall not exceed the total amount you paid to us in the twelve (12) months preceding the event giving rise to the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless P2PClouds and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with your use of the Service, your User Content, or your violation of these Terms.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Pakistan, without regard to its conflict-of-law provisions. Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, the dispute shall be referred to arbitration or the competent courts of Lahore, Pakistan.

13. Changes to These Terms

We reserve the right to update these Terms at any time. We will notify you of material changes by email or by posting a notice on the Service at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
